Software Licence Agreement (EULA)

1. Scope of the Licence

Provided that you comply with the terms set out in this agreement, Nesoi Network grants you a non-exclusive, non-transferable, non-sublicensable and revocable right of use to operate the Nesoi management panel and the Nesoi Bridge integration software installed on your game server. The software is not sold, only licensed. The copyright, trade marks, source code and all intellectual property rights in the software belong to Nesoi Network, and this agreement transfers none of those rights to you.

2. Single Server Limit

Each licence is valid for ONE game server only. The licence key and API key assigned to your account may be used on that server only. Simultaneous use of the same licence on more than one game server, in different communities or in a shared hosting arrangement is prohibited. You must obtain a separate licence for each additional server. If you migrate or reinstall your server, you may continue to use the same licence on the new installation; this is not treated as a breach.

3. Prohibition of Transfer, Resale and Sharing

The following are prohibited in respect of the software and the licence:

• Transferring, selling, renting, lending or sublicensing the licence or the account to third parties.
• Redistributing or repackaging the software or any of its components, or offering it as part of your own product.
• Sharing your API key or your panel access credentials with persons outside the scope of the licence.
• Using the software for the purpose of developing a service that competes with Nesoi.
• In the event that ownership of your server is transferred in its entirety, the licence may be transferred to the new owner only with our prior written consent.

4. Reverse Engineering and Code Integrity

It is prohibited to decompile, disassemble or reverse engineer the software, or to circumvent, disable or modify its licence verification, authentication or usage limitation mechanisms. If you modify the files of the software, the support service comes to an end and any consequence arising from the modified version is yours alone. This prohibition does not apply to cases of interoperability that applicable legislation mandatorily permits.

5. Updates and New Features

Releasing updates, developing new features or adhering to a particular release schedule IS NOT A COMMITMENT; it lies entirely within the developer's discretion. What you purchase under this agreement is the right to use the version EXISTING at the moment the licence is assigned. Features that may be released in future, published roadmaps, announcements or beta work do not constitute a binding promise and cannot be relied upon as the basis for your purchase decision. Nesoi Network reserves the right to modify, merge or remove any feature of the software. In the case of changes that materially affect existing use, reasonable prior notice will be endeavoured.

6. Compatibility with Third Party Software

Nesoi operates alongside third party software that is not under our control. Compatibility with such software IS NOT GUARANTEED:

• FiveM / Cfx.re artifact versions: New versions released by the platform may break the existing integration.
• Frameworks: QB-Core, Qbox and their forks and derivatives. ESX is not supported.
• Third party inventory, garage, banking, housing and similar scripts, as well as modified versions of them.
• Custom scripts running on your server and any changes you make to the database schema.
• Incompatibilities arising from one of these components being updated, modified or deviating from the supported structure do not constitute a defect or a breach of contract. In such cases, whether or not adaptation work is carried out lies within the developer's discretion.

7. Scope of Support

The support service is limited to remedying errors arising in the EXISTING version of the software. The following fall OUTSIDE the scope of support:

• Carrying out bespoke development for you, adding features or adjusting the interface.
• Adapting the software to your own scripts, your modified framework or your custom database schema.
• Server installation, hosting configuration, database administration and general FiveM server consultancy.
• Remedying errors in, or configuring, third party scripts.
• Reversing erroneous operations you have performed through the panel (without prejudice to the backup features of the Pro plan).
• Support requests are handled through the announced channels and within reasonable working hours. Pro plan holders are given priority in the queue; no particular response time (SLA) is guaranteed.

8. Disclaimer of Warranties and Limitation of Liability

The software is provided "AS IS" to the maximum extent permitted by applicable legislation. It is not guaranteed to operate uninterrupted or error-free. The total liability of Nesoi Network arising out of this agreement is limited, in all cases, to the AMOUNT ACTUALLY PAID by you for this service within the twelve (12) months preceding the date on which the event giving rise to the claim occurred. Since the Standard plan is free of charge, that amount is zero in respect of Standard plan users only. Indirect damages fall OUTSIDE the scope of liability. These include in particular: loss of revenue and profit, loss of players or donations, loss of reputation, restriction or banning of your server by Cfx.re or another platform, loss of or corruption of data in your game database, business interruption and third party claims. These limitations do not apply to damage arising from our intent or gross negligence, nor to liabilities that cannot be limited under applicable legislation. The rights of users holding consumer status under mandatory legislation are reserved.

9. Grounds for Termination

Your licence may come to an end in the following cases:

• By you: You may terminate your account or your Pro plan at any time.
• Non-payment: In the event of non-payment of the price of the paid plan, cancellation of the payment or a chargeback, the Pro features are suspended and the account reverts to the free Standard plan.
• Material breach: In cases of exceeding the single server limit, transferring or reselling the licence, circumventing licence verification or reverse engineering, the licence may be terminated with immediate effect.
• Unlawful use: If the software is used for unauthorised access to third party systems, data theft or similar unlawful purposes, the licence is terminated with immediate effect.
• In respect of other breaches, a reasonable period is first granted for the breach to be remedied. Upon termination you must cease using the software and remove the installed components from your server; amounts already paid are not refunded.

10. Discontinuation of the Service and Data Portability

Should Nesoi Network decide to discontinue the service entirely, it will notify its registered users at least SIXTY (60) DAYS in advance by e-mail and by an announcement on the site. Throughout that period the service will continue to operate and you will be given the means to export the data held in the panel (your server configuration, job and gang backups, and panel audit logs) in a machine-readable format. If you hold a paid plan whose term has not expired, the price corresponding to the period left unused because of the discontinuation will be refunded on a pro rata basis. This clause does not apply to data held in your game server's own database, which is already under your control.

11. Governing Law and Entry into Force

This agreement is governed by the law of the Republic of Türkiye. In disputes, the Consumer Arbitration Committees and the Consumer Courts have jurisdiction in respect of users holding consumer status; in all other cases, the courts and enforcement offices of the Republic of Türkiye that are competent under the general provisions have jurisdiction. The invalidity of any provision of this agreement does not affect the validity of the remaining provisions. Together with the Terms of Use, the Privacy Policy, the Cookie Policy, the KVKK Disclosure Statement and the Distance Sales Agreement, this agreement constitutes the entire agreement between the parties.
